Einzelkaufmann – Einzelkauffrau (e.K.) (Solo Trader)

If a company reaches a commercial size of operation (from approximately EUR 250,000 annual sales revenues) it is necessary not only to register the trade but also to apply for entry in the commercial register.

If this size of operations is not reached, a business name can be entered in the commercial register on a voluntary basis. After the entry the enterprise is considered as a merchant within the meaning of the German Commercial Code (HGB). The transactions of the sole traders are then governed by HGB.

Under their business name sole traders may acquire rights and enter into obligations, initiate court proceedings or be sued. The business owner’s name must not be contained in the business name. Sole traders are liable with their entire assets.
